Globalization of world trade has resulted in a massive increase in the volume of trade during the past two decades. Unfortunately, this huge surge in trade & services has brought about a few undesirable developments/trends in the way companies are governed. Of course, at this juncture, we should not forget the unforgettable lessons taught by the colossal failure of Enron and WorldCom owing to reckless behavior of executives and poor corporate governance.

Moral Hazard and Bonus Culture

Activists and shareholders who oppose these practices being followed by the company executives as ‘questionable practices’. Some of the questionable practices include, among others, ‘moral hazard’ where the executives/bankers, for instance, resort to ‘predatory lending’ practices clearly compromising on the established norms, regulations and guidelines. The next important accusation against the corporate executive is related to their compensation policy wherein the ‘bonus culture’ is, regrettably, rampant. Of course, governance of an entity is questioned when the executives take huge bonuses although the company or the banking/financial institution is in deep financial trouble. All these practices are, clearly, an affront in the way a company or a bank functions.

Regulation Yield Lesser Results and Change

Experience indicates that stiffer regulations have clearly failed to bring in the much-needed change in the corporate behavior. Ethics and a high degree of corporate governance should be in practice in every business establishment. Proper training and clear change in the mindset of directors and executives alone would bring about the required change in the way a corporate entity is administered.

Against this backdrop, the upcoming conference in the most beautiful city state of Singapore makes an attempt to achieve the following objectives;

a) Analyze how companies initiate measures to take care of the interests of different stakeholders such as shareholders, managers, suppliers, customers, lenders, government and the community at large;
